TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale apply to all quotations, estimates, orders, products and services supplied by 1603979 B.C. LTD., operating as GoPod.ca, referred to in these terms as “GoPod,” “we,” “us” or “our.”

By approving an estimate, signing an order document, issuing a purchase order, submitting a deposit or other payment, or otherwise instructing GoPod to proceed with an order, the customer agrees to these Terms and Conditions and the related GoPod policies referenced below.

Quotations and Order Acceptance

All quotations and estimates are issued in Canadian dollars and remain valid until the expiry date shown on the document. Product pricing, availability, shipping or delivery requirements, installation charges and taxes are subject to confirmation before an order is accepted.

An order is not accepted and inventory is not reserved until GoPod has provided written confirmation and received the required deposit or full payment in cleared funds.

Any requested changes to an accepted order must be approved by GoPod in writing. Changes may affect pricing, product availability, shipping or delivery charges and delivery timelines.

Products and Specifications

GoPod supplies acoustic office pods, privacy booths, office furniture, accessories and related services. Product photographs, finish samples, renderings and dimensions are provided for general reference. Colours and finishes may vary slightly because of lighting, screen settings and normal manufacturing variation.

GoPod may make or approve minor product substitutions or specification changes that do not materially reduce the product’s intended function or quality. Material changes will be communicated to the customer before shipment whenever reasonably possible.

The customer is responsible for reviewing the quotation, product specifications, quantities, finishes, dimensions and intended application before approving the order.

Pricing and Taxes

Unless otherwise stated, all prices are in Canadian dollars and do not include applicable sales taxes, delivery, professional installation, storage, special handling or other charges not expressly included in the quotation. Delivery charges are quoted separately based on destination, order size, delivery method and site requirements and will be identified in the applicable quotation or order confirmation before the order is finalized.

Applicable GST, PST, HST or other taxes will be charged according to the delivery destination and applicable law. Customers claiming a resale or tax exemption must provide valid supporting documentation before the applicable invoice is issued or the product is released.

Payment

Payment requirements are governed by the GoPod Payment and Cancellation Policy and any payment schedule stated on the accepted quotation, estimate or invoice.

Products will not be reserved, ordered, released or shipped until the required payment has been received in cleared funds. GoPod retains legal title to all products until the order has been paid in full.

The customer is responsible for reasonable costs incurred by GoPod in collecting overdue amounts, to the extent permitted by law.

Shipping and Delivery

Shipping, delivery charges, freight claims and customer site responsibilities are governed by the GoPod Shipping and Delivery Policy. Delivery charges are quoted separately unless specifically stated otherwise in the applicable quotation or order confirmation.

Delivery and installation dates are estimates provided in good faith. Manufacturing, supplier, freight carrier, weather, labour, customs and other circumstances outside GoPod’s reasonable control may affect delivery timelines.

The customer must provide an accurate and complete delivery address, contact information and site details before shipment. Additional costs caused by an incorrect address, failed delivery, restricted access, site conditions, storage, redelivery or rescheduling are the customer’s responsibility unless otherwise agreed in writing.

Nothing in these terms limits a cancellation, refund or other right that cannot legally be excluded.

Site Readiness

The customer is responsible for confirming that the delivery and installation location is accessible and ready to receive the product. This includes confirming doorway, corridor, elevator and loading access; suitable staging space; electrical requirements; floor protection; building rules; delivery hours; parking restrictions; and any required permits, approvals or consents.

The customer must disclose stairs, elevators, narrow access points, loading restrictions, security procedures, after-hours requirements and other relevant site conditions before delivery or installation is scheduled.

Additional charges may apply when undisclosed conditions result in extra labour, special equipment, storage, redelivery or rescheduling.

Installation and Customer Assembly

Installation may be completed by an independent installation contractor coordinated by GoPod, by a contractor selected by the customer or by the customer directly.

Customer assembly does not by itself change the applicable product warranty when the product is assembled in accordance with the supplied instructions. Damage caused by improper handling, assembly, installation, modification or relocation is not covered unless the parties agree otherwise in writing.

INSPECTION AND FREIGHT DAMAGE

The Customer or receiving representative must inspect the shipment when it arrives.

Visible damage should be noted on the carrier’s delivery receipt or bill of lading before it is signed. Photographs should be taken of the packaging, shipment and affected components.

Concealed or visible damage must be reported to GoPod as soon as possible and preferably within 48 hours after delivery, as well as within any applicable reporting period required by the carrier or manufacturer. Original packaging and damaged components must be retained until the claim has been resolved.

Freight claims will be handled according to the Shipping and Delivery Policy and the circumstances of the individual shipment.

CANCELLATIONS, RETURNS AND FINAL SALE

Deposits, cancellations, returns and refunds are governed by the GoPod Payment and Cancellation Policy.

Except for approved freight damage claims, defects covered by an applicable written warranty, returns authorized by GoPod in writing, or remedies required by law, products that have been released to the carrier are final sale and cannot be returned or exchanged.

Custom, specially ordered, allocated or made-to-order products cannot be cancelled or returned once GoPod or its supplier has committed materials, production capacity, inventory or other costs to the order, except where otherwise required by law.

WARRANTY

Products are covered by the applicable written warranty described on the GoPod Warranty page and any manufacturer warranty supplied with the product.

Warranty claims will be reviewed and administered by GoPod in consultation with the manufacturer, supplier, carrier or installer as appropriate.

An approved remedy may include repair, replacement parts, product replacement or another remedy required by the applicable warranty or law. A warranty claim does not automatically entitle the Customer to cancel the order or receive a refund.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, GoPod will not be liable for indirect, incidental, special or consequential losses, including loss of profit, revenue, business opportunity, productivity or use.

To the fullest extent permitted by law, GoPod’s total aggregate liability arising from or relating to any product, service or order will not exceed the amount actually paid to GoPod for the specific product or service giving rise to the claim.

These limitations do not apply to liabilities or Customer rights that cannot lawfully be excluded or limited.

EVENTS BEYOND REASONABLE CONTROL

GoPod will not be responsible for a failure or delay caused by circumstances beyond its reasonable control, including manufacturing interruptions, supplier delays, freight disruptions, customs delays, severe weather, labour disputes, government action, fire, flood, public emergencies or other similar events.

GoPod will make reasonable efforts to inform the Customer and reduce the effect of the delay. This section does not limit any statutory rights that cannot lawfully be excluded.

WEBSITE CONTENT AND INTELLECTUAL PROPERTY

The GoPod name, logo, website content, photographs, graphics and written materials are owned by or licensed to GoPod and may not be copied, reproduced or used commercially without prior written permission.

Product names, trademarks and manufacturer materials remain the property of their respective owners.

PRIVACY

GoPod collects, uses, stores and discloses personal information according to its Privacy Policy and applicable privacy law.

GOVERNING LAW

These Terms and Conditions and all GoPod transactions are governed by the laws of British Columbia and the applicable federal laws of Canada.

Subject to any rights that cannot legally be restricted, disputes will be submitted to the courts of British Columbia.

SEVERABILITY

If any part of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue in effect.

CHANGES TO THESE TERMS

GoPod may update these Terms and Conditions from time to time. The version in effect when an order is accepted will apply to that order unless the parties agree otherwise in writing.
